These Terms of Service ("Terms") govern access to and use of AffiliConnex. AffiliConnex is operated by BlueConneX Corp ("AffiliConnex," "we," "us," or "our"). By creating, accepting, or using an account or merchant workspace, you agree to these Terms.
1. Eligibility and accounts
You must be legally able to enter into a binding agreement and provide accurate account information. You are responsible for safeguarding credentials, assigning appropriate user roles, and promptly disabling access that is no longer authorized. Merchant accounts may include owners, administrators, managers, analysts, and read-only users.
2. The service
AffiliConnex provides software for operating affiliate programs, including affiliate applications, referral-link and click tracking, attribution, server-side conversion reporting, commission calculations, order-status adjustments, affiliate portals, reporting, payout preparation, email invitations, and related administrative tools. Features may differ by plan and may change over time.
3. Merchant affiliate programs
Each merchant controls its own affiliate program. The merchant is responsible for program terms, commission rates, eligibility rules, product exclusions, affiliate approvals, cancellation and refund decisions, payout timing, tax reporting, and disputes with affiliates. AffiliConnex is not the merchant, seller of the merchant's products, or employer or agent of an affiliate.
Merchants are responsible for communicating legally required advertising and endorsement rules to their affiliates. Affiliates must clearly disclose material financial relationships where required and must not use deceptive, unlawful, or misleading promotional practices.
4. Tracking, attribution, and order data
Tracking depends on correct implementation of referral tracking and server-side order reporting. Merchants must test their integration and send accurate program, order, currency, gross amount, commissionable amount, cancellation, return, refund, and fraud-status information. No tracking technology can guarantee capture of every click or conversion. Merchant order and accounting systems remain the authoritative source for the underlying sale.
5. Commissions and payouts
AffiliConnex calculates and records commissions using the merchant's configured rules and the order data supplied to the service. A commission may be pending, approved, rejected, adjusted, batched, paid, or reversed. Payout batches and exports are operational tools; the merchant remains responsible for actually paying affiliates and for any tax, withholding, reporting, or payment-service obligations.
6. Fees, subscriptions, and taxes
When paid subscriptions are enabled, fees, billing cadence, plan limits, renewal terms, and applicable taxes are shown during checkout or in the merchant's billing area. Unless otherwise stated, subscriptions renew automatically until canceled. Cancellation may take effect at the end of the current billing period. Third-party payment processors may handle payment-card information; AffiliConnex is designed to store billing identifiers and subscription status rather than full payment-card numbers.
7. Acceptable use
You may not use AffiliConnex for unlawful goods or services, fraud, spam, deceptive advertising, malware, unauthorized surveillance, infringement, credential abuse, circumvention of security controls, or activity that violates applicable advertising, privacy, consumer-protection, sanctions, payment-network, or platform rules. You may not interfere with the service or attempt to access another merchant's data.
8. Email and communications
Merchants are responsible for ensuring that affiliate recruitment, promotional, and marketing email sent through or in connection with AffiliConnex is lawful and that required notices and opt-out mechanisms are provided. AffiliConnex may send transactional or relationship messages necessary to operate accounts, security, invitations, billing, and support.
9. Customer data and privacy
Merchants retain responsibility for the lawfulness of data they submit or cause AffiliConnex to process. Our collection and handling of personal information is described in the Privacy Policy. Where AffiliConnex processes personal data on behalf of a merchant, the Data Processing Addendum applies to that processing.
10. Confidentiality and security
Each party will use reasonable care to protect the other's non-public confidential information and will use it only as needed to perform or receive the service, except where disclosure is authorized or legally required. AffiliConnex uses administrative and technical safeguards, but no online service is completely secure. You must notify us promptly of suspected unauthorized account access.
11. Intellectual property and feedback
AffiliConnex and its software, interfaces, documentation, trademarks, and related materials are owned by or licensed to BlueConneX Corp. Merchants and affiliates retain ownership of their own content and data. You grant us the limited rights needed to host, process, display, and transmit that content to provide the service. Feedback may be used to improve the product without restriction or payment.
12. Third-party services and integrations
The service may connect with ecommerce platforms, email providers, payment processors, hosting providers, and other third-party services. Their terms and availability are outside our control. Dedicated integrations may be identified as available, beta, or roadmap features; use of a third-party service does not make AffiliConnex responsible for that service.
13. Suspension and termination
We may suspend access where reasonably necessary to protect the service, investigate abuse, comply with law, address nonpayment, or prevent harm. A merchant may stop using the service or cancel an applicable subscription subject to its billing terms. After termination, data may be exported, deleted, anonymized, or retained where reasonably necessary for legal, security, accounting, backup, or dispute purposes.
14. Disclaimers
Except to the extent prohibited by law, the service is provided on an "as is" and "as available" basis. We do not warrant uninterrupted operation, perfect attribution, any specific revenue result, or that every third-party integration will remain available. Merchants should maintain independent order, accounting, and payout records.
15. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, or data arising from use of the service. Except for payment obligations, fraud, willful misconduct, breach of confidentiality, misuse of the other party's intellectual property, or indemnification obligations, each party's aggregate liability arising out of or relating to the service will not exceed the fees paid or payable by the merchant to AffiliConnex during the 12 months immediately preceding the event giving rise to the claim. If applicable law does not permit a limitation stated here, the limitation applies only to the maximum extent permitted by law.
16. Indemnification
The merchant will defend and indemnify BlueConneX Corp and its officers, directors, employees, and contractors from third-party claims arising from the merchant's products or services, affiliate-program rules, advertising claims, affiliate instructions, merchant-provided data, or violation of applicable law. BlueConneX Corp will defend the merchant against a third-party claim that the unmodified AffiliConnex service, when used as authorized, infringes a United States patent, copyright, or trademark, and may modify the service, obtain continued rights, or terminate the affected feature if reasonably necessary. An indemnified party must provide prompt notice, reasonable cooperation, and control of the defense to the indemnifying party, subject to the indemnified party's right to participate with its own legal representative at its own expense.
17. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. Unless otherwise agreed in writing or required by law, disputes will be brought exclusively in the state courts located in Monroe County, Pennsylvania, and the United States District Court for the Middle District of Pennsylvania, and each party consents to personal jurisdiction and venue there.
18. Changes and notices
We may update these Terms from time to time. Material changes will be identified by a new version or effective date and, where appropriate, communicated through the service or another reasonable channel. Continued use after an effective update may constitute acceptance where permitted by law.
19. General
Neither party may assign these Terms without the other party's consent, except in connection with a merger, reorganization, sale of substantially all assets, or similar transaction, or to an affiliate that assumes the applicable obligations. Neither party is liable for delay caused by events beyond its reasonable control. If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. These Terms, the applicable order or subscription details, the Privacy Policy, and the DPA where applicable form the complete agreement for the service and supersede prior discussions about the same subject matter.
